Chiboor Terms of Use

These Terms of Use govern your access to and use of Chiboor and its services. Please read them carefully before using the platform.

By accessing chiboor.com or registering as a supplier, you agree to be bound by these Terms. If you do not agree, please do not use Chiboor.

About Chiboor

Chiboor (chiboor.com) is a global B2C supplier discovery platform that connects buyers with local businesses. Chiboor operates as a directory service only. It does not sell products, provide services, or act as a party to any transaction between a supplier and a buyer.

Chiboor started operations in Lilongwe, Malawi, and operates internationally.


Who can use Chiboor

You must be at least 18 years old to register as a supplier or use any account-based features on Chiboor. By registering, you confirm that you are 18 years of age or older.

Buyers may use the public search directory without creating an account. By accessing chiboor.com, buyers also agree to these Terms.

If you are registering on behalf of a business, you confirm that you have the authority to bind that business to these Terms.


Supplier accounts

To list products or services on Chiboor, you must register for a supplier account. When registering, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Keep your login credentials confidential
  • Not share your account with any other person or entity
  • Notify us immediately if you suspect unauthorised access to your account

You are responsible for all activity that occurs under your account, whether or not you authorised it.

Chiboor reserves the right to verify the information you provide at any time. Providing false or misleading information is a violation of these Terms and may result in account suspension or deletion.


Business name

The business name you register with is permanent. You may not change your registered business name after account creation except in the following circumstance:

  • You have legally changed your business name and can provide valid supporting legal documentation (such as a certificate of name change or updated business registration certificate)

Name change requests must be submitted to legal@chiboor.com with the relevant documents. Chiboor will review the request and, if approved, update the business name on the platform. Approval is at Chiboor's sole discretion.

This rule exists to protect buyers who may rely on a business name to identify a supplier they have previously dealt with.


Subscriptions and payments

Chiboor offers the following subscription plans:

  • Free – 1 product listing, renewed annually at no cost
  • Silver – Up to 50 products, billed annually
  • Gold – Up to 500 products, billed annually
  • Platinum – Up to 5,000 products, billed annually

All paid plans are billed on an annual basis. Monthly prices displayed on the platform are for reference only — payment is collected as a single annual amount.

Payments are processed by Stripe or PayPal. Chiboor does not store any payment card or bank account information.

Upgrades

You may upgrade to a higher plan at any time. The upgrade takes effect immediately upon successful payment. Your subscription expiry date remains unchanged.

Downgrades

Downgrade requests are scheduled and take effect at the end of your current subscription period. Your current plan benefits remain active until the expiry date. When the lower plan activates, Chiboor will retain only the number of product listings allowed under the new plan, starting from the oldest listings. You will be warned before this happens and given the opportunity to reorder or remove listings.

Cancellation

Cancelling your subscription is treated as a downgrade to the Free plan. Cancellation takes effect at the end of your current subscription period. At that point, only 1 product listing will be retained.


Free plan

The Free plan allows one product listing and must be renewed annually. Renewal is free of charge. If you do not renew, your account and listing may be deactivated.

Chiboor reserves the right to modify or discontinue the Free plan with at least 30 days' notice to affected users.


Refund policy

Refund requests must be submitted within 30 days of the date of payment. To request a refund, contact legal@chiboor.com with your account details and reason for the request.

If a refund is approved:

  • The refund will be returned to the original payment method
  • All bank charges — both local and international — will be deducted from the refund amount before it is returned to you
  • Chiboor is not responsible for any additional fees charged by your bank or payment provider

Refunds will not be issued in cases where the account has been suspended or terminated due to a violation of these Terms.

Refund requests made after 30 days of payment will not be accepted.


Your content and listings

When you submit product listings, business information, or any other content to Chiboor, you confirm that:

  • You own or have the right to publish that content
  • The content is accurate and not misleading
  • The content does not violate these Terms or any applicable law

By submitting content to Chiboor, you grant Chiboor a non-exclusive, royalty-free licence to display that content on the platform for the purpose of operating the directory service.

Chiboor does not verify the accuracy of product listings except where a supplier has applied for and received a verification badge (available on Gold and Platinum plans). The verification badge confirms the business identity only — it does not constitute an endorsement of the supplier's products or services.

You are solely responsible for the accuracy, legality, and completeness of everything you list on Chiboor.


Prohibited content and conduct

The following are strictly prohibited on Chiboor. Listing, promoting, or facilitating any of the following will result in immediate account suspension:

Prohibited products and services

  • Any product or service that is illegal under the laws of the country in which it is offered or sold
  • Archaeological artefacts, historical relics, or items protected under national heritage laws
  • Animal parts, wildlife products, or any item derived from protected or endangered species (in violation of CITES — the Convention on International Trade in Endangered Species)
  • Tobacco products, cigarettes, shisha, vaping products, or any smoking-related goods
  • Weapons of any kind, including firearms, ammunition, explosives, or items designed to cause bodily harm
  • Poisons or hazardous substances not intended for legitimate agricultural or livestock use
  • Counterfeit or pirated goods

Prohibited conduct

  • Facilitating or promoting child labour in any form, in violation of ILO core labour standards and the UN Convention on the Rights of the Child
  • Facilitating or promoting prostitution, human trafficking, or sexual exploitation
  • Money laundering or any activity designed to conceal the origins of illegally obtained funds
  • Submitting false, misleading, or fraudulent business information
  • Impersonating another business or individual
  • Using Chiboor to send unsolicited communications (spam) to buyers or other suppliers
  • Attempting to reverse-engineer, scrape, or extract data from the platform without authorisation
  • Any activity that disrupts or interferes with the operation of Chiboor

This list is not exhaustive. Chiboor reserves the right to determine, at its sole discretion, whether any content or conduct violates the spirit of these Terms.


Buyers using the platform

Buyers may search the Chiboor directory and view supplier profiles without creating an account. By using the platform, buyers agree to:

  • Use the platform for lawful purposes only
  • Not misrepresent their identity or intentions when contacting suppliers
  • Not attempt to scrape, copy, or systematically extract supplier data from the platform

Chiboor does not verify the identity of buyers. Suppliers are advised to exercise their own due diligence before entering into any transaction.


Transactions between suppliers and buyers

Chiboor is a directory platform only. It does not facilitate, mediate, or participate in any transaction between a supplier and a buyer.

All negotiations, agreements, payments, and dealings between suppliers and buyers occur entirely outside of Chiboor and are the sole responsibility of the parties involved. Chiboor has no visibility into, and accepts no responsibility for, any such transactions.

Chiboor is not liable for:

  • The quality, safety, legality, or availability of any product or service listed on the platform
  • Any loss, damage, or dispute arising from a transaction between a supplier and a buyer
  • Any misrepresentation made by a supplier or buyer to the other party
  • Any failure by a supplier to deliver goods or services

If you have a dispute with another user of Chiboor, you agree to resolve it directly with that party. Chiboor may, at its sole discretion, assist in communications but is under no obligation to do so.


Suspension and termination

Suspension

Chiboor may suspend a supplier account immediately and without prior notice if there is reason to believe that these Terms have been violated. Upon suspension:

  • The supplier's listings will be removed from the public directory
  • The supplier will be notified of the reason for suspension by email
  • The supplier will have 30 days to respond and remedy the violation

Termination

If no satisfactory remedy is made within 30 days of the suspension notice, Chiboor reserves the right to permanently delete the account. Upon permanent deletion:

  • All listings and account data will be removed from the platform
  • No refund will be issued for any remaining subscription period
  • The supplier may not re-register using the same business name or email address without Chiboor's express written approval

Voluntary closure

You may close your account at any time by contacting legal@chiboor.com. Account closure is treated as a cancellation and the refund policy in these Terms applies.


Intellectual property

All content on chiboor.com that is created by Chiboor — including the platform design, logo, software, text, and structure — is the property of Chiboor and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from Chiboor's content without express written permission.

Content submitted by suppliers (product listings, business information, logos) remains the property of the supplier. By submitting content to Chiboor, you grant Chiboor the right to display it on the platform as described in the "Your content and listings" section above.


Limitation of liability

To the fullest extent permitted by applicable law, Chiboor and its operators, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, or consequential loss or damage arising from your use of the platform
  • Any loss of business, revenue, profit, or data
  • Any harm resulting from transactions between suppliers and buyers
  • Any temporary unavailability or technical errors on the platform
  • Any reliance placed on information displayed in the directory

Chiboor provides the platform on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components.

In any event, Chiboor's total liability to you shall not exceed the amount you paid to Chiboor in the 12 months preceding the event giving rise to the claim.


Dispute resolution and arbitration

Chiboor operates globally and does not designate any single country's court system as the venue for resolving disputes. Instead, any dispute, controversy, or claim arising out of or relating to these Terms, or the use of Chiboor, shall be resolved by binding arbitration.

Arbitration rules

Arbitration shall be conducted in accordance with the rules of the United Nations Commission on International Trade Law (UNCITRAL). UNCITRAL arbitration rules are internationally recognised, neutral, and do not favour any particular country or legal system.

Process

  • Either party may initiate arbitration by providing written notice to the other party describing the dispute in reasonable detail
  • Both parties will attempt to resolve the matter informally within 30 days of that notice before formal arbitration proceeds
  • If informal resolution fails, arbitration will proceed under UNCITRAL rules
  • The arbitration shall be conducted in the English language
  • The arbitrator's decision shall be final and binding on both parties

Exceptions

Either party may seek urgent interim or injunctive relief from a competent court where necessary to prevent immediate harm, without waiving the right to arbitration for the underlying dispute.

No class actions

Disputes must be brought on an individual basis. You may not bring or participate in a class action or consolidated arbitration against Chiboor.


International standards

Chiboor is committed to operating in a manner consistent with internationally recognised standards, including:

  • UN Guiding Principles on Business and Human Rights — Chiboor's prohibited content rules reflect the commitment to prevent the platform from being used to facilitate human rights violations, including child labour, human trafficking, and exploitation.
  • ILO Core Labour Standards — The prohibition on child labour listings is consistent with ILO Conventions 138 and 182.
  • CITES (Convention on International Trade in Endangered Species) — The prohibition on animal parts and wildlife products reflects Chiboor's commitment to environmental protection and biodiversity.
  • UNCITRAL Arbitration Rules — Dispute resolution is conducted under UN-established international trade law standards.

These commitments apply globally, regardless of the local laws of the country in which a supplier or buyer is located.


Changes to these Terms

Chiboor may update these Terms from time to time. When significant changes are made, we will:

  • Update the effective date at the top of this page
  • Notify registered suppliers by email at least 14 days before the changes take effect

Your continued use of Chiboor after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the platform and may close your account.
